Notice of dissenters’ rights

(1) If a proposed corporate action that creates dissenters’ rights under ORS 60.554 (Right to dissent) is submitted to a vote at a shareholders’ meeting, the meeting notice must state that shareholders are or may be entitled to assert dissenters’ rights under ORS 60.551 (Definitions for ORS 60.551 to 60.594) to 60.594 (Court costs and counsel fees) and a copy of ORS 60.551 (Definitions for ORS 60.551 to 60.594) to 60.594 (Court costs and counsel fees) must accompany the notice.

(2) If a corporate action that creates dissenters’ rights under ORS 60.554 (Right to dissent) is taken without approval of the shareholders, the corporation shall notify in writing all shareholders entitled to assert dissenters’ rights that the action was taken and send the shareholders entitled to assert dissenters’ rights the dissenters’ notice described in ORS 60.567 (Dissenters’ notice).
