Articles of conversion

(1) After conversion is approved by the owners, the converting business entity shall file articles of conversion, which shall state the name and type of business entity prior to conversion, the name and type of business entity after conversion and the names and addresses of at least two partners, and shall include the plan of conversion.

(2) The conversion takes effect at the later of the date and time determined pursuant to ORS 67.530 (Effective time and date of document) or the date and time determined pursuant to the statutes governing the business entity that is not a partnership. [1999 c.362 §44; 2001 c.315 §10]
